Terms of Use

Welcome to ThinkFleet. These Terms of Use ("Terms") govern your access to and use of the products and services of Thinkfleet AI, LLC, a North Carolina limited liability company ("ThinkFleet", "Company", "we", "us" or "our"): the thinkfleet.ai website and the ThinkFleet platform, APIs and AI agents; Flobyte (flobyte.ai) and its web, mobile (Android and iOS), desktop and extension apps; ServFlo (servflo.ai); iSpector (ispector.ai); SkuFlow (skuflow.ai); Base316 (base316.com); MemMesh (memmesh.ai); and EngageIt (engageit.ai) (collectively, the "Service").

Product terms. Some products publish their own terms, which apply to that product together with these Terms:

If a product's terms and these Terms conflict, the product's terms control for that product. ThinkFleet, Flobyte, MemMesh and EngageIt are governed by these Terms alone.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Service

ThinkFleet makes AI-powered software for businesses:

  • ThinkFleet and Flobyte: create and run automated workflows that connect third-party services, deploy AI agents that act on your behalf across integrated applications, and build knowledge bases for AI-powered retrieval and responses.
  • ServFlo: field service software (scheduling, dispatch, quotes, invoices and payments) for home-service businesses.
  • iSpector: home inspection software (booking, inspection reports, agreements and payments).
  • SkuFlow: commerce software for custom and decorated products (quotes, artwork proofs, purchase orders, production and online stores).
  • Base316: sign-in, billing, usage metering and access control that software companies add to their own applications.
  • MemMesh: persistent memory for AI assistants and tools, over MCP.
  • EngageIt: customer data, rewards and messaging that businesses use with their own customers.

Where the Service acts on your behalf, it does so using the credentials, permissions and instructions you provide. You are responsible for the actions your configured automations and AI agents perform, and for the messages you send to your own customers through the Service.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You agree to update your information as needed to keep it accurate.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. You must immediately notify us at security@thinkfleet.ai if you suspect unauthorized access to your account.

3.3 Account Responsibility

You are responsible for all activity that occurs under your account, including actions taken by AI agents and automated workflows you configure. This includes actions taken through third-party service connections you authorize.

4. Third-Party Service Connections

4.1 Authorization

When you connect third-party services (e.g., Google, Microsoft, Slack, Salesforce) through the Service, you authorize ThinkFleet to access and act on those services on your behalf, within the scope of permissions you grant. You represent that you have the right to grant such access.

4.2 Third-Party Terms

Your use of third-party services through ThinkFleet remains subject to those services' own terms of service, privacy policies, and usage limits. ThinkFleet is not responsible for any third-party service's availability, changes, or terms.

4.3 Credential Storage

We store your third-party service credentials (OAuth tokens, API keys) using industry-standard encryption. You may revoke access to any connected service at any time through your ThinkFleet account settings or directly through the third-party service.

5. AI Agents and Automated Actions

5.1 Agent Behavior

AI agents operate based on instructions, tools, and permissions you configure. While we strive for accuracy, AI agents may occasionally produce unexpected or incorrect results. You should review and monitor agent actions, especially for sensitive or irreversible operations.

5.2 No Guarantee of Accuracy

AI-generated content, decisions, and actions are provided "as is." ThinkFleet does not guarantee the accuracy, completeness, or reliability of any output produced by AI agents or automated workflows.

5.3 Human Oversight

You are responsible for maintaining appropriate human oversight of AI agents and automated workflows, particularly for actions that involve financial transactions, communications sent on your behalf, data modifications, or access control changes.

5.4 Rate Limits and Usage

AI agent usage may be subject to rate limits and usage quotas based on your subscription plan. We reserve the right to throttle or suspend agent execution to maintain service stability.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, phishing, or other unsolicited bulk communications
  • Harass, abuse, or harm any person or entity
  • Generate, store, or distribute illegal content including child exploitation material, content promoting violence, or material that violates export control laws
  • Attempt to gain unauthorized access to the Service, other accounts, or connected third-party systems beyond authorized permissions
  • Interfere with or disrupt the Service's infrastructure, security, or performance
  • Circumvent usage limits, rate limits, or access controls
  • Use the Service to build a competing product or service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, mine, or extract data from the Service for unauthorized purposes
  • Impersonate another person or entity
  • Use AI agents to autonomously create accounts, make purchases, or enter agreements without appropriate human authorization

We reserve the right to suspend or terminate your account for violations of this section without prior notice.

7. Your Data

7.1 Ownership

You retain all rights to the data you upload, create, or process through the Service ("Your Data"). This includes your workflow configurations, knowledge base content, and any data processed through your automations.

7.2 License to Us

You grant ThinkFleet a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service. We will not use Your Data to train AI models without your explicit consent.

7.3 Data Processing

Data processed through automated workflows and AI agents may be temporarily stored in transit. We process Your Data in accordance with our Privacy Policy and applicable data protection laws.

7.4 Data Portability and Deletion

You may export or delete Your Data at any time through the Service. Upon account termination, we will delete Your Data within 30 days, except as required by law or as needed to resolve disputes.

8. Intellectual Property

8.1 Our Property

The Service, including its software, design, documentation, trademarks, and all related intellectual property, is owned by ThinkFleet and protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.

8.2 Your Property

Your workflow configurations, custom automations, and data remain your property. Nothing in these Terms transfers ownership of your intellectual property to us.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Subscription and Payment

9.1 Plans and Pricing

Access to certain features requires a paid subscription. Pricing, features, and limits are described on our pricing page and may change with 30 days' notice.

9.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all applicable fees.

9.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by law.

9.4 Free Tier

We may offer a free tier with limited features and usage. We reserve the right to modify or discontinue the free tier at any time.

10. Service Availability

10.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors beyond our control.

10.2 Modifications

We may modify, update, or discontinue features of the Service at any time. For material changes that affect your use, we will provide reasonable advance notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • THINKFLEET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

  • THINKFLEET'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

  • THINKFLEET IS NOT LIABLE FOR ACTIONS TAKEN BY AI AGENTS OR AUTOMATED WORKFLOWS ON YOUR BEHALF, INCLUDING ACTIONS TAKEN ON CONNECTED THIRD-PARTY SERVICES. YOU ASSUME FULL RESPONSIBILITY FOR CONFIGURING, MONITORING, AND SUPERVISING YOUR AUTOMATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless ThinkFleet, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Actions taken by AI agents or automations you configure
  • Your violation of any third-party rights
  • Data you process through the Service

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or through your account settings.

13.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, if required by law, or if we discontinue the Service. We will make reasonable efforts to notify you in advance when possible.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 7.1, 8, 11, 12, and 14-17 survive termination.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions.

14.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Charlotte, North Carolina. You waive any right to a jury trial or to participate in a class action.

14.3 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any product terms that apply (see the top of these Terms), constitute the entire agreement between you and ThinkFleet regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.

15.5 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance of the revised Terms.

16. Mobile Apps and App Stores

If you download a ThinkFleet app from the Apple App Store or Google Play, these Terms are between you and ThinkFleet, not Apple or Google. ThinkFleet, not the app store, is responsible for the app, its content, maintenance, support, warranties (to the extent not disclaimed) and any claims about it. Your use of the app must also follow the app store's terms of service. Apple and Google, and their subsidiaries, are third-party beneficiaries of this section and may enforce it. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app on devices you own or control, only to access the Service under these Terms.
